1. INTRODUCTION AND PURPOSE

1.1 This Branding & Logo Protection Policy ("Policy") is published by Visionary Studio s.r.o. ("Company," "We," "Us," or "Our"), a company incorporated under Czech law (IČO: 21641862), operator of the Visionary Hub platform (the "Service").

1.2 The purpose of this Policy is to establish rules for the use of the Visionary Hub brand identity, protect the Company's intellectual property rights, and inform third parties of permitted and prohibited uses of the Visionary Hub brand assets.

1.3 This Policy is publicly available at https://visionaryhub.ai/branding and applies to all persons and entities who use, reference, or interact with the Visionary Hub brand.

1.4 By using the Visionary Hub brand, name, logo, or associated intellectual property, You acknowledge that You have reviewed and understood this Policy and that Your usage complies with its terms.


2. SCOPE AND DEFINITIONS

2.1 Definitions

For the purposes of this Policy:

  • "Brand Assets" means all visual, textual, and digital elements associated with the Visionary Hub brand, including but not limited to the word mark, logos, taglines, color schemes, typography, domain names, and social media identities.
  • "Listed Tools" means third-party AI tools, services, or applications catalogued, reviewed, or aggregated on the Service. Listed Tools are owned and operated by their respective providers ("Tool Providers"), not by the Company.
  • "Proprietary Tools" means micro-applications, utilities, widgets, or features developed, owned, and operated directly by the Company as part of the Service (see Section 6).
  • "Trade Mark" means any registered or unregistered trade mark, service mark, trade name, or trade dress associated with the Visionary Hub brand.
  • "You" or "Your" means any individual, organization, or entity subject to this Policy.

2.2 Age Requirement

This Policy is directed to persons aged eighteen (18) years or older. Persons under 18 may not submit brand usage requests or enter into licensing agreements with the Company.


3. BRAND OWNERSHIP AND LEGAL AUTHORITY

3.1 The Company is the exclusive legal owner and proprietor of the Visionary Hub brand and all associated Brand Assets. All intellectual property rights, including but not limited to trade mark rights, copyright, design rights, and goodwill associated with the Visionary Hub brand, belong exclusively to the Company.

3.2 The Company's intellectual property rights in the Visionary Hub brand include:

  • (a) trade name and service mark rights (registered and unregistered);
  • (b) logo design and visual identity elements;
  • (c) website domain names (including visionaryhub.ai and related domains);
  • (d) all branded materials, collateral, and digital assets;
  • (e) associated copyrights and design rights;
  • (f) goodwill associated with the brand; and
  • (g) all derivative works and brand extensions.

3.3 All rights not expressly granted in this Policy or in a separate written agreement are reserved to the Company.


4. LEGAL FRAMEWORK

4.1 Czech Republic

The Visionary Hub brand is protected under Czech intellectual property law, including:

  • (a) Czech Trademark Act (zákon č. 441/2003 Sb., o ochranných známkách) — providing statutory protection for registered and unregistered trade marks;
  • (b) Czech Copyright Act (zákon č. 121/2000 Sb., autorský zákon) — protecting original creative works, logo designs, and visual identity elements;
  • (c) Czech Industrial Design Act (zákon č. 207/2000 Sb., o ochraně průmyslových vzorů) — protecting registered industrial designs;
  • (d) Czech Civil Code (zákon č. 89/2012 Sb., občanský zákoník) — §2976–2990 (unfair competition), §2894–2971 (liability for damage); and
  • (e) Czech Criminal Code (zákon č. 40/2009 Sb., trestní zákoník) — §268–271 (offences against industrial property rights).

4.2 European Union

  • (a) EU Trade Mark Regulation (Regulation (EU) 2017/1001) — unified protection of EU trade marks through the European Union Intellectual Property Office (EUIPO);
  • (b) Digital Services Act (Regulation (EU) 2022/2065) — intermediary liability, transparency, and notice-and-action obligations;
  • (c) Directive on Electronic Commerce (2000/31/EC) — supplementary provisions regarding online service providers;
  • (d) Digital Single Market Directive (Directive (EU) 2019/790) — copyright in the digital single market;
  • (e) EU AI Act (Regulation (EU) 2024/1689) — Art. 50(2) regarding AI-generated content labeling; and
  • (f) Consumer Rights Directive (Directive 2011/83/EU) — consumer protection provisions.

4.3 International Treaties

  • (a) Paris Convention for the Protection of Industrial Property (1883) — international priority and national treatment for industrial property holders;
  • (b) Madrid Protocol (Protocol Relating to the Madrid Agreement Concerning the International Registration of Marks, 1989) — international trade mark registration through WIPO; and
  • (c) TRIPS Agreement (Agreement on Trade-Related Aspects of Intellectual Property Rights) — minimum standards of intellectual property protection under the WTO framework.

4.4 Trade Mark Registration Status

The Company maintains, or reserves the right to maintain, trade mark registrations protecting the Visionary Hub brand at national (Czech), EU, and international levels as appropriate. The absence of a formal registration does not diminish the Company's rights in unregistered trade marks, which are protected under Czech and EU law (including through unfair competition provisions).


5. SCOPE OF BRAND PROTECTION

This Policy applies to all manifestations of the Visionary Hub brand, including but not limited to:

  • (a) the "Visionary Hub" word mark and variations thereof;
  • (b) Company logos in all formats (digital, print, vector, raster);
  • (c) associated taglines and slogans;
  • (d) Company color schemes and visual design elements;
  • (e) typography and font selections used in branding;
  • (f) Company domain names and subdomains;
  • (g) social media accounts and usernames;
  • (h) Proprietary Tool branding (see Section 6); and
  • (i) all derivative works and brand extensions.

6. PROPRIETARY TOOLS

6.1 The Company develops and operates Proprietary Tools — micro-applications, utilities, and features built directly into the Service. Proprietary Tools are distinct from Listed Tools (third-party tools catalogued on the platform).

6.2 The branding, names, logos, and visual identity of all Proprietary Tools are owned exclusively by the Company and are protected as Brand Assets under this Policy.

6.3 Third parties may not use the names, logos, or visual identity of Proprietary Tools without express written permission from the Company, subject to the same conditions that apply to the Visionary Hub brand generally.

7. PERMITTED USES OF THE VISIONARY HUB BRAND

7.1 Editorial and News Reporting (Statutory Exception)

Journalists, media outlets, and news organizations may reference "Visionary Hub" in factual, accurate reporting without prior permission, provided that:

  • (a) references are truthful and not misleading;
  • (b) the brand name is used in its correct form (not stylized or altered);
  • (c) no false endorsement or affiliation is implied;
  • (d) the context clearly distinguishes journalistic commentary from official Company communications; and
  • (e) attribution is provided where appropriate.

This permitted use is recognized under the Czech Copyright Act (zákonné licence §29–40 AutZ) and Directive 2001/29/EC Art. 5(3)(c) (use for the purpose of reporting current events).

7.2 Academic and Research Purposes

Scholars, researchers, and educational institutions may reference Visionary Hub in academic work, peer-reviewed publications, case studies, and educational materials, provided that:

  • (a) usage is factual and in an educational context;
  • (b) the reference does not imply endorsement by the Company;
  • (c) proper citations and attributions are included;
  • (d) the Company is not represented as endorsing the academic work or research findings; and
  • (e) no commercial benefit is derived from such use without prior written permission.

7.3 Linking to the Visionary Hub Platform

Third-party websites may link to the official Visionary Hub website (https://visionaryhub.ai) without prior permission, provided that:

  • (a) the hyperlink is truthful and descriptive;
  • (b) the link does not create a false impression of affiliation, sponsorship, or endorsement;
  • (c) no framing, cloaking, or misleading presentation techniques are employed; and
  • (d) the link points to the official Company website and not to modified, unauthorized, or fraudulent versions.

7.4 Reviews, Comparisons, and Critiques

Independent reviewers, comparison sites, and critics may reference Visionary Hub in honest reviews, product comparisons, and evaluations, provided that:

  • (a) all statements are factually accurate or clearly identified as opinion;
  • (b) the review is clearly identified as independent and not endorsed by the Company;
  • (c) no false claims about features, functionality, or performance are made;
  • (d) the reviewer does not use the Visionary Hub logo without permission (text references are permitted); and
  • (e) comparative claims are substantiated and not misleading.

7.5 Competitive Commentary

Competitors may reference the Visionary Hub brand in comparative marketing materials, provided that all claims are truthful, substantiated, accurate, and not misleading, and that no false endorsement or affiliation is implied. Comparative advertising must comply with Directive 2006/114/EC (Misleading and Comparative Advertising Directive).


8. PROHIBITED USES OF THE VISIONARY HUB BRAND

The following uses of the Visionary Hub brand, trade marks, logo, and associated Brand Assets are strictly prohibited without express written permission from the Company:

8.1 Unauthorized Endorsement and Affiliation

Using the brand in any manner that implies endorsement, sponsorship, partnership, or official affiliation without a written agreement.

Examples: "Visionary Hub Approved Solution," "Built in partnership with Visionary Hub," or "Endorsed by Visionary Hub" (when no such endorsement exists).

8.2 Logo Modification and Alteration

Altering the official logo, including but not limited to: changing colors, proportions, or design elements; adding effects (shadows, gradients, 3D renderings); rotating, stretching, or distorting; combining with other marks; removing or obscuring portions; recreating or approximating the design; or using outdated or unofficial versions.

8.3 Unauthorized Merchandise and Products

Manufacturing, distributing, or selling merchandise bearing the Visionary Hub brand without an express written license, including clothing, accessories, promotional items, physical or digital products, unauthorized brand extensions, counterfeit goods, and resale of official merchandise without authorization.

8.4 Domain Names and Digital Properties

Registering domain names containing "Visionary Hub," "VisionaryHub," or confusingly similar variations; creating subdomains or URL paths designed to impersonate the Company; or engaging in cybersquatting.

8.5 Social Media Impersonation

Creating social media accounts or profiles using "Visionary Hub" or confusingly similar names; using the official logo as a profile picture without authorization; or representing oneself as speaking on behalf of the Company.

8.6 Misleading Advertising and Marketing

Using the brand in advertising that misrepresents products or services; creating false claims of compatibility, integration, or partnership; employing bait-and-switch tactics; or using the brand to promote competing products.

8.7 Trade Mark Dilution and Tarnishment

Using the Visionary Hub brand in adult-oriented, gambling, or illegal contexts; associating the brand with offensive, hateful, or discriminatory content; or diluting the distinctiveness of the brand through extensive unauthorized use.


9. LOGO USAGE GUIDELINES AND BRAND STANDARDS

For permitted uses requiring the Visionary Hub logo, the following brand standards apply:

9.1 Logo Specifications

  • (a) Format: Only official logo files provided by the Company in approved formats (PNG, SVG, EPS, PDF).
  • (b) Color Variants: Primary color, monochrome, and reverse versions as designated by the Company.
  • (c) File Quality: High-resolution files (minimum 300 DPI for print; optimized for web use).
  • (d) Approved Sources: Logo files must be obtained directly from the Company or authorized distribution channels.

9.2 Minimum Size Requirements

  • (a) Digital Display: Minimum 100 pixels in width.
  • (b) Print Materials: Minimum 1 inch (2.54 cm) in width.
  • (c) Mobile / Responsive: Minimum 48 pixels in width.

9.3 Clear Space and Padding

Maintain minimum clear space around the logo equal to the height of the "V" in "Visionary." Do not crowd the logo with other design elements, text, or logos.

9.4 Prohibited Modifications

Do not: change logo colors or apply filters; add drop shadows, glows, or 3D effects; rotate or skew the logo; stretch or compress (altering proportions); add borders, frames, or overlapping elements; or use obsolete or unofficial versions.

9.5 Background Usage

Use the logo on solid, contrasting backgrounds. Ensure sufficient contrast for legibility. Avoid busy, patterned, or image-based backgrounds. Test visibility across different media and display devices.

9.6 Typography and Wordmark

Use the official "Visionary Hub" wordmark as provided. Do not alter font, spacing, or letter forms. Maintain consistent capitalization and styling.


10. PARTNER AND AFFILIATE USAGE

10.1 Authorized Partner Usage

Partners, affiliates, resellers, and authorized service providers with a formal written agreement may use the Visionary Hub brand under the following conditions:

  • (a) use is limited to activities specified in the written partnership or license agreement;
  • (b) compliance with all brand guidelines in this Policy;
  • (c) pre-approval in writing for all branded materials;
  • (d) clear indication of partnership or affiliation status;
  • (e) immediate removal of all brand usage upon termination; and
  • (f) no sublicensing or third-party usage without separate authorization.

10.2 Requesting Partner Status

Organizations wishing to become authorized partners may contact the Company at [email protected] with:

  • (a) detailed description of proposed brand usage;
  • (b) business rationale and intended customer base;
  • (c) marketing materials or mockups showing intended usage;
  • (d) proposed timeline and duration; and
  • (e) references or business credentials.

The Company will review requests and respond within fifteen (15) business days.

10.3 Reseller and Distributor Requirements

Authorized resellers and distributors must: use only pre-approved marketing materials; accurately represent products and services; maintain brand standards; clearly identify themselves as resellers (not as the Company); and report any misuse or counterfeit products discovered during business operations.


11. REQUESTING PERMISSION FOR BRAND USAGE

11.1 How to Request

Organizations seeking permission for uses not covered under Section 7 (Permitted Uses) should submit a formal request to:

11.2 Required Information

  • (a) Organization name, legal entity type, and registration numbers;
  • (b) Contact person, title, and direct contact information;
  • (c) Detailed description of intended brand usage;
  • (d) Timeline, duration, target audience, and geographic regions;
  • (e) Marketing materials, mockups, or samples;
  • (f) Business rationale; and
  • (g) Acknowledgment of compliance with this Policy.

11.3 Review Timeline

  • Acknowledgment: Within three (3) business days.
  • Review Period: Five to ten (5–10) business days.
  • Decision: Email notification with approval, conditional approval, or denial.
  • Appeal: Requestors may resubmit with additional information if the initial request is denied.

11.4 Approval Conditions

Permission, if granted, is subject to: a signed Brand Usage Agreement; compliance with this Policy; pre-approval of all materials before distribution; the Company's right to revoke permission with thirty (30) days' written notice; immediate removal of brand materials upon revocation; limitation to the approved scope; and prohibition on sublicensing.


12. REPORTING VIOLATIONS AND ENFORCEMENT

12.1 How to Report

If You discover unauthorized use of the Visionary Hub brand, trade marks, logo, or Brand Assets, please report it to:

Include: the specific URL, domain, or location of the infringing content; description of the unauthorized use; screenshots or evidence; Your contact information; and date of discovery.

12.2 Investigation Process

Upon receipt of a violation report, the Company will:

  1. Initial Review (3–5 business days): Acknowledge receipt and assess the report.
  2. Investigation (5–10 business days): Assess the nature, severity, and applicable remedies.
  3. Cease and Desist Notice: If warranted, send formal written notice demanding cessation.
  4. Compliance Period (10–15 business days): Allow reasonable time for the infringing party to remedy the violation.
  5. Documentation: Maintain records of all communications and actions.

12.3 Legal Remedies

The Company may pursue legal remedies, including:

  • (a) civil litigation for trade mark infringement and unfair competition (Czech Civil Code §2976–2990);
  • (b) injunctive relief (předběžné opatření);
  • (c) damages and recovery of legal costs;
  • (d) criminal prosecution for offences against industrial property rights (Czech Criminal Code §268–271);
  • (e) domain name recovery through ICANN Uniform Domain-Name Dispute-Resolution Policy (UDRP) or Czech Arbitration Court procedures;
  • (f) social media account suspension through platform reporting; and
  • (g) referral to law enforcement where criminal conduct is involved.

13. THIRD-PARTY CLAIMS AGAINST THE VISIONARY HUB BRAND

13.1 Claims Procedure

If a third party believes that the Visionary Hub brand infringes their intellectual property rights, they should contact:

Notices must include: a description of the claimed right; identification of the allegedly infringing Company materials; documentation proving ownership; explanation of the alleged infringement; requested remedial action; and contact information.

13.2 Company Response

  1. Preliminary Assessment (5 business days): Review the claim for merit.
  2. Investigation (10–15 business days): Research the claimed rights and applicable law.
  3. Legal Consultation: Consult intellectual property counsel as needed.
  4. Response: Notify the claimant of the Company's position.
  5. Good Faith Negotiation: Engage in discussions to resolve the dispute.
  6. Remedial Action (if warranted): Implement appropriate measures.

13.3 Dispute Resolution

The Company prefers negotiated resolution, mediation, or arbitration. Either party may initiate formal proceedings. Disputes will be resolved under Czech law and applicable EU intellectual property regulations (see Section 16).


14. SPECIAL PROVISIONS

14.1 Social Media and Platform Usage

Use of the Visionary Hub brand on social media platforms (including but not limited to Facebook, X (formerly Twitter), LinkedIn, Instagram, TikTok, and YouTube) is subject to the respective platform's terms of service and this Policy. Accounts must be clearly identified as affiliated or non-affiliated with the Company.

14.2 Search Engine Optimization and Web Content

Website owners and content creators may reference Visionary Hub in web content and SEO materials under the Permitted Uses (Section 7), provided that references are truthful, not designed to manipulate search rankings through misleading practices, and do not imply endorsement.

14.3 Emergency Situations

In genuine emergency situations where immediate brand usage is necessary (e.g., security warnings, public health notices, law enforcement cooperation), limited usage may be permissible. Contact the Company immediately at [email protected]. Seek prior approval if time permits. Comply with this Policy once the emergency concludes.


15. DSA COMPLIANCE

15.1 In accordance with the Digital Services Act (Regulation (EU) 2022/2065), the Company maintains transparent procedures for handling reports of illegal use of its Brand Assets on the Service.

15.2 Reports of Brand Asset misuse on the Service will be processed in accordance with the Company's notice-and-action procedures as described in the Copyright Takedown Policy.

15.3 Where the Company removes or restricts access to content on the Service based on trade mark infringement, it will provide the affected user with a Statement of Reasons in accordance with DSA Art. 17.

15.4 Users who disagree with a decision may use the internal complaint-handling mechanism (DSA Art. 20) and, if unresolved, may refer the matter to an out-of-court dispute settlement body (DSA Art. 21).


16. GOVERNING LAW AND JURISDICTION

16.1 Governing Law

This Policy is governed by and construed in accordance with the laws of the Czech Republic and applicable European Union law, without regard to conflict-of-law principles.

16.2 Primary Jurisdiction

Any disputes arising from or in connection with this Policy shall be submitted to the competent courts of the Czech Republic. The court of first instance shall be determined by the registered address of the Company (Městský soud v Praze).

16.3 EU Consumer Rights

Nothing in this Policy affects the rights of consumers under Regulation (EU) No 1215/2012 (Brussels I bis), in particular Articles 17–19, which may entitle consumers to bring proceedings in the courts of their Member State of domicile.

16.4 Alternative Dispute Resolution

16.4.1 In the event of a dispute that cannot be resolved directly, either party may seek resolution through mediation or arbitration in accordance with Czech law.

16.4.2 EU consumers may submit disputes to the Online Dispute Resolution (ODR) platform maintained by the European Commission at https://ec.europa.eu/consumers/odr, in accordance with Regulation (EU) No 524/2013.

16.4.3 For domain name disputes, the Company may use the ICANN Uniform Domain-Name Dispute-Resolution Policy (UDRP) or the Czech Arbitration Court for Internet Disputes.


17. LIMITATION OF LIABILITY

17.1 This Policy is provided for informational and protective purposes. The Company makes no representations or warranties regarding the enforceability of specific provisions in jurisdictions outside the Czech Republic and the European Union.

17.2 Nothing in this Policy excludes or limits liability that cannot be excluded or limited under applicable law, including but not limited to liability for fraud, intentional damage, or damage to health.

17.3 The Company's total aggregate liability arising from or in connection with the enforcement of this Policy shall not exceed the actual damages proven by the claimant, determined in accordance with Czech Civil Code §2894–2971.


18. POLICY AMENDMENTS

18.1 The Company reserves the right to update, modify, or amend this Policy. Material changes will be communicated by publishing the updated Policy on the Company's website and updating the "Last Updated" date. For licensees with active Brand Usage Agreements, material changes will be notified at least thirty (30) days in advance.

18.2 Continued use of the Visionary Hub brand following the effective date of amendments constitutes acceptance of the updated Policy.

18.3 The Company's intellectual property rights in the Visionary Hub brand predate this Policy and are protected under applicable law regardless of any Policy amendments. Nothing in this Policy limits or diminishes the Company's existing intellectual property rights.


19. LANGUAGE

19.1 This Policy is published in English and Czech. The English version is authoritative. The Czech translation is provided for convenience only and is informational in nature.

19.2 In the event of any discrepancy between the English and Czech versions, the English version shall prevail.
